DeltanHub is an online real estate technology platform operated by AEOSA PLATFORMS LTD and designed to connect property seekers with property owners, real estate agents, agencies, developers, and other property professionals.

DeltanHub provides software tools for discovering, publishing, comparing, visualizing, including through 3D virtual tours, and communicating about real estate properties.

DeltanHub is a platform service provided by AEOSA PLATFORMS LTD and is not, unless explicitly stated in writing:

• The owner, seller, landlord, developer, broker, or legal representative of any property listed on the platform.

• A licensed real estate brokerage or agency.

• A party to any tenancy, lease, purchase, sale, or agency agreement initiated or facilitated through the platform.

To access or use DeltanHub, you must:

1. Provide accurate, current, and complete account information.

2. Be legally capable of entering into binding contracts under applicable law.

3. If acting on behalf of a company, agency, developer, or organisation, confirm that you have full legal authority to bind that entity to these Terms.

4. Comply with Applicable Real Estate Regulations: If you operate as a real estate agent, broker, agency, or developer, you warrant that you comply with all local, state, and federal laws governing real estate practice in your jurisdiction. This includes, where applicable, registration with state regulatory bodies such as the Lagos State Real Estate Regulatory Authority (LASRERA) or equivalent state agencies.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You strictly agree not to:

• Create an account using another person's identity or unauthorised details.

• Impersonate any person, business, agency, or organisation.

• Provide false, misleading, or deceptive information.

• Allow unauthorised third parties to access or use your account.

• Use DeltanHub for any illegal, fraudulent, or unauthorised purpose.

You must immediately notify DeltanHub if you suspect or become aware of any unauthorised access to or breach of your account security.

To publish property listings or 3D tours on DeltanHub, users must register as a Publisher and complete mandatory identity verification.

A. Verification Process: DeltanHub may require you to submit official identification documents, such as a National Identity Card, International Passport, Driver’s Licence, or Voter’s Card, and corporate documents, such as Corporate Affairs Commission (CAC) registration certificates.

B. NDPA Data Processing Consent: In accordance with the Nigeria Data Protection Act (NDPA) 2023, where consent is required as the lawful basis for a particular verification activity, you provide the appropriate consent for DeltanHub and its authorised third-party verification service providers to process, cross-reference, and verify information submitted for identity and verification purposes. This may include checks against relevant official or statutory sources, including NIMC, CAC, LASRERA and other applicable databases or registers.

C. Right to Reject or Revoke: DeltanHub reserves the right to reject, suspend, or delay verification where documents are incomplete, altered, stolen, unverified, or misleading. Providing false or altered documents constitutes a material breach of these Terms and may result in immediate account termination and, where appropriate or required by law, reporting to relevant authorities.

To promote transparency and prevent consumer deception:

1. Specific Verification Labels: Badges displayed on DeltanHub are specific to the information verified, such as “ID Verified” for identity verification or “CAC Verified” for a corporate registration check.

2. Scope of Verification: Verification confirms only that the specified information was successfully checked through the applicable verification process at the relevant time.

3. No Certification of Property Ownership: A verification badge does not constitute a certification or guarantee by DeltanHub that:

• The Publisher owns, holds title to, or has exclusive rights over any specific property.

• The Publisher is trustworthy or financially sound.

• A property is free from encumbrances, legal disputes, or fraud.

• Any property transaction will be successfully completed.

Users are advised to carry out independent physical, legal, title, and other appropriate due diligence before entering into any financial transaction or contract.

DeltanHub may offer additional verification statuses for corporate entities, agencies, and real estate professionals.

• Regulatory Compliance Verification: For Publishers advertising properties within Lagos State or other regulated jurisdictions, DeltanHub may check and display LASRERA registration information, CAC registration details, or other applicable regulatory information.

• Paid Verification: Certain business or professional verification badges may be offered as paid services.

• Badge Modification and Expiry: DeltanHub reserves the right to require periodic renewal or remove a verification status if the underlying information expires, changes, becomes invalid, or fails a subsequent verification check.

A verification badge does not constitute a guarantee, endorsement, or certification beyond the specific information verified.

Publishers are fully responsible for all property listings, details, media, and 3D tours uploaded under their accounts.

Publishers represent and warrant that:

1. They hold valid authority, written mandates, or permissions from the property owner to market the property.

2. All information provided, including price, location, size, amenities, ownership claims, and availability, is accurate, genuine, and not misleading.

3. Photographs, videos, floor plans, and 3D virtual tours accurately represent the property to the extent reasonably possible.

Publishers must not knowingly list phantom/ghost properties, inflated prices to manipulate search results, bait-and-switch offers, or unauthorised listings.

DeltanHub reserves the right to edit, decline, restrict, group, ungroup, or remove any listing that violates these Terms or applicable DeltanHub policies.

A. Grouping of Listings: DeltanHub may allow multiple authorised Publishers to market the same property. Where DeltanHub identifies listings corresponding to the same physical property, the platform may group them into a Master Listing with individual Publisher representations displayed as Sub-Listings. The Master Listing may generally be determined based on the first qualifying listing identified by DeltanHub’s system, together with the applicable listing information and grouping rules.

B. Manipulation Prohibited: Publishers are prohibited from creating duplicate or redundant listings for the same property under a single account solely to manipulate search rankings or platform visibility.

C. Listing Dispute Policy: If a dispute arises regarding property authority, mandate exclusivity, or unauthorised representation:

• DeltanHub reserves the right to temporarily hide, reclassify, ungroup, or permanently remove disputed listings upon receiving a written claim from a property owner or other relevant authority holder.

• DeltanHub is under no obligation to adjudicate complex real estate mandate disputes between rival agents or brokers.

DeltanHub may make reasonable platform decisions concerning the display or grouping of listings without determining legal ownership or contractual rights between competing parties.

1. Independent Verification: Property details on DeltanHub are provided by third parties, Publishers, and automated data processing. DeltanHub does not guarantee the accuracy, completeness, or timeliness of any listing data, pricing, measurements, or other property information.

2. Direct Contracting: Any contract for sale, rent, lease, or inspection is formed strictly between the prospective buyer or tenant and the seller, landlord, agent, or other relevant party.

3. No Platform Liability for Outcomes: DeltanHub accepts no responsibility or liability for property defects, title defects, fraudulent acts committed by users off-platform, or failure of any party to complete a transaction.

DeltanHub provides messaging, enquiry forms, and communication features to facilitate property interactions.

You agree not to use communication channels to:

• Send spam, unauthorised commercial pitches, or chain messages.

• Solicit off-platform advance payments, unverified inspection fees, or personal bank transfers without appropriate agreements.

• Harass, threaten, stalk, or abuse any user.

• Distribute unlawful, obscene, or fraudulent content.

DeltanHub reserves the right to use automated filters and other reasonable measures to monitor and restrict messaging activity that violates safety, security, or anti-fraud protocols.

DeltanHub offers optional paid promotional tools, including Boosted and Featured listings, to enhance property visibility.

• Promotional Nature Only: Paid promotion increases visibility but does not guarantee enquiries, sales, leases, or specific placement positions.

• No Endorsement: Boosted or Featured status is a promotional placement service and does not constitute verification, validation, or endorsement by DeltanHub.

A. SaaS Subscriptions & Platform Fees: DeltanHub offers SaaS platform access, 3D tour hosting, Publisher tools, and promotional services under paid subscription or fee structures. Prices, billing cycles, and applicable features are displayed before purchase.

B. Payment Processing: Payments for DeltanHub subscriptions and promotional services may be processed through third-party payment providers, including Paystack and Flutterwave. You agree to comply with the applicable terms and conditions of those payment providers.

C. Non-Custodial & No-Escrow Boundary: DeltanHub payment channels are reserved for paying DeltanHub SaaS fees, software subscriptions, verification services, and promotional services. DeltanHub does not hold, collect, manage, or operate an escrow service for rental deposits, purchase prices, inspection fees, or other property transaction funds between users. Any transfer of funds between property seekers, agents, property owners, landlords, sellers, or other users is conducted between the relevant parties and at their own risk outside DeltanHub’s financial infrastructure.

You retain ownership of the property descriptions, photos, videos, floor plans, 3D tours, and other materials you submit to DeltanHub (“User Content”).

By uploading User Content, you grant DeltanHub and AEOSA PLATFORMS LTD, as the operator of the DeltanHub platform, a worldwide, non-exclusive, royalty-free, perpetual, transferable, and sublicensable licence to use, host, store, reproduce, modify, display, format, distribute, and create derivative works of such content solely to operate, maintain, enhance, market, and promote DeltanHub and its services across applicable media channels.

You confirm that you possess all intellectual property rights and permissions necessary to grant this licence.

A. DeltanHub IP Rights: The DeltanHub platform, its architecture, visual design, logos, trademarks, code, databases, algorithms, software, 3D rendering technology, and other proprietary materials are owned by or licensed to AEOSA PLATFORMS LTD. You may not reverse-engineer, scrape, copy, reproduce, distribute, modify, or commercially exploit platform materials without express written authorisation, except where permitted by applicable law.

B. Takedown Policy for IP / Unauthorised Listings: If you believe that your copyrighted work, trademark, photographs, 3D tours, or other protected material or property rights have been used or published on DeltanHub without authorisation, you may submit an IP & Content Dispute Notice to our designated support or legal contact containing:

1. Physical or electronic signature of the rights owner or authorised representative.

2. Identification of the copyrighted work, media, or property concerned.

3. Direct URL or listing ID of the disputed material.

4. Your contact details.

5. A statement that you have a good-faith belief that the use is unauthorised.

Upon receipt of a valid notice, DeltanHub will review the claim and may disable access to or remove the disputed content within a commercially reasonable timeframe.

DeltanHub may integrate artificial intelligence and related technologies to provide property summaries, pricing estimations, recommendations, content generation, search assistance, spatial guidance, property suitability suggestions, and other features.

A. Informational Output Only: AI-generated output is provided for general informational purposes only. It may contain errors, inaccuracies, assumptions, or outdated information.

B. No Professional Advice: AI outputs do not constitute legal, valuation, financial, surveying, architectural, engineering, structural, planning, zoning, land-use, or other professional advice. Users must independently verify important information before making financial, property, construction, development, or investment decisions.

C. Spatial, Measurement and Property Guidance Disclaimer: DeltanHub’s AI features, LiDAR-based measurements, 360° imagery, spatial guidance, property suitability suggestions, and related tools are provided for informational and visualisation purposes only. They do not constitute professional surveying, architectural, engineering, structural, valuation, planning, zoning, land-use, or legal advice and should not be relied upon as a substitute for professional inspection, measurement, survey, approval, or regulatory confirmation. Users are responsible for obtaining appropriate professional and regulatory verification before making property, construction, development, or investment decisions.

LiDAR-based measurements are estimates generated using device sensors and software and may contain inaccuracies.

You agree not to:

• Publish false, deceptive, or fraudulent property listings or documentation.

• Scrape, data-mine, harvest, or systematically extract data from DeltanHub through automated scrapers, bots, or spiders.

• Upload malicious code, viruses, trojans, or tools designed to breach security or disrupt performance.

• Interfere with platform infrastructure, servers, or networks.

• Circumvent user verification, account limits, or subscription paywalls.

• Violate any applicable law.

Users may submit reports or reviews regarding listings, Publishers, or interactions.

All reports and reviews must be factual, submitted in good faith, and free from abusive, defamatory, or deceptive statements.

DeltanHub reserves the right to investigate reports, remove non-compliant content, or restrict non-compliant accounts without prior notice where reasonably necessary.

DeltanHub reserves the right to suspend, restrict, or permanently terminate your account and access to the platform, including without prior notice where reasonably necessary, if:

1. You commit a material breach of these Terms or associated policies.

2. You provide false, stolen, or altered identity or verification documents.

3. Your conduct poses a safety risk, financial threat, or legal exposure to other users, third parties, or DeltanHub.

4. Required by law, court order, or regulatory directive.

You may terminate your account at any time by ceasing platform use or contacting support. Accrued financial liabilities and legal obligations arising before termination shall survive account closure where applicable.

DeltanHub integrates third-party tools and services, including payment processors, mapping services, identity-verification providers, cloud hosting services, AI providers, and analytics frameworks.

Your interactions with third-party services may be subject to their respective terms and privacy policies. DeltanHub does not control independent third-party services and is not responsible for matters arising solely from a third party’s independent services or policies.

To the maximum extent permitted under applicable law:

1. DeltanHub provides its website, platform, software, 3D tour features, and content on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory.

2. DeltanHub disclaims implied warranties to the extent permitted by applicable law.

3. DeltanHub makes no warranty that property listings, user claims, verification badges, measurements, spatial guidance, or AI insights are accurate, complete, current, or legally sufficient.

To the maximum extent permitted by applicable law:

1. AEOSA PLATFORMS LTD, operating DeltanHub, and its directors, employees, affiliates, and agents shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, rental disputes, property damage, or financial loss resulting from your use or inability to use DeltanHub.

2. DeltanHub’s total aggregate liability for any direct claim arising under or in connection with these Terms or your use of the platform shall be limited to the total amount paid by you to DeltanHub for DeltanHub services in the three (3) months preceding the event giving rise to the claim, or ₦50,000 (Fifty Thousand Naira), whichever is lower.

Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable law.

You agree to defend, indemnify, and hold harmless AEOSA PLATFORMS LTD, operating the DeltanHub platform, together with its affiliates, officers, directors, employees, agents, software licensors, and service providers from and against any and all claims, demands, liabilities, damages, judgments, losses, costs, expenses, and legal fees, including reasonable legal fees, arising out of or related to:

1. Your access to or use of DeltanHub.

2. Your User Content, property listings, or 3D tour uploads.

3. Your breach of any provision of these Terms, Listing Rules, or applicable law.

4. Your interactions, property transactions, disputes, misrepresentations, or dealings with any other user or third party.

5. Any claim that your listing or content caused damage or loss to a third party or infringed upon third-party intellectual property or property mandate rights.

AEOSA PLATFORMS LTD respects your privacy.

The processing of personal data, account information, verification information, and usage data in connection with DeltanHub is governed by the DeltanHub Privacy Policy.

By using DeltanHub, you acknowledge that you have read and understood the Privacy Policy.

AEOSA PLATFORMS LTD reserves the right to modify or update these Terms from time to time to reflect changes in DeltanHub’s business operations, technology, regulatory requirements, or applicable law.

When material changes are made, we will take reasonable steps to notify users through platform notices, emails, or updated version dates.

Your continued use of DeltanHub following the effective date of revised Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

A. Governing Law: These Terms shall be governed by, interpreted, and enforced in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory laws applicable to a user or transaction.

B. Multi-Tiered Dispute Resolution: In the event of any claim, controversy, or dispute arising out of or relating to these Terms, platform usage, or DeltanHub services, the parties shall seek to resolve the dispute through the following process:

1. Direct Negotiation: The aggrieved party must issue a formal written Notice of Dispute detailing the claim. The parties shall engage in good-faith negotiations for a minimum period of thirty (30) days from receipt of the notice.

2. Mediation / Arbitration: If the dispute is not settled through negotiation, it may be referred to an appropriate mediation or arbitration process in Lagos, Nigeria, including through an institution such as the Lagos Court of Arbitration (LCA) or Lagos Multi-Door Courthouse (LMDC), where appropriate.

• The arbitration shall be conducted by a single arbitrator appointed in accordance with the applicable institutional rules.

• The language shall be English.

• The seat and venue shall be Lagos, Nigeria, unless otherwise agreed.

• Any arbitral award shall be binding and enforceable in accordance with applicable law.

3. Litigation: Where a dispute cannot be resolved through the foregoing process, or where court intervention is permitted or required by law, the appropriate courts may be approached.

Nothing in this section prevents a party from seeking urgent or interim relief from a court where such relief is necessary.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Waiver: No failure or delay by AEOSA PLATFORMS LTD or DeltanHub to exercise any right or remedy under these Terms shall operate as a waiver of that right or remedy.

Entire Agreement: These Terms, together with the DeltanHub Privacy Policy, Cookie Policy, Listing Rules, Verification Policy, Community & Content Policy, Subscription & Promotion Terms, Intellectual Property & Copyright Policy, AI Terms, and any applicable service-specific agreements, constitute the agreement governing your use of DeltanHub, to the extent applicable to the service you use.
